The Church Agrees

CONNEXTIONS ACCESS AGREEMENT

Standard Terms of Access — Church & Ministry Partners

This document sets out Ishkoo, LLC’s (“Company”) standard terms for church access to Connextions (the “Program”). These terms are not individually negotiated. A church accepts this Agreement, and it becomes binding, when an authorized representative completes the information below, checks the acceptance box, and signs at the end of this document — no countersignature from Company is required for the Agreement to take effect.

1. Access to Connextions

Company grants the church identified below (“Church”) a non-exclusive, non-transferable right to access and use the Program to support Church’s congregation and community members. Access is limited to Church staff, volunteers, and community members Church authorizes, and may not be resold, sublicensed, or shared outside Church’s ministry activities without Company’s prior written consent.

2. Fees, Billing, and Automatic Renewal

Church agrees to pay Company at the church/ministry rate selected below. Fees are due upon receipt of invoice unless otherwise agreed in writing. Company may change pricing for future terms with at least [30] days’ written notice; continued use after a change takes effect constitutes acceptance.

This Agreement renews automatically for successive terms of the same length (monthly or annual) unless either party gives written notice of non-renewal at least [30] days before the end of the current term, or unless otherwise agreed in writing.

3. Suspension, Termination, and No Refunds

If Church cancels, or fails to pay any fee and does not cure that failure within [14] days of written notice, Company may immediately suspend or terminate access without further liability to the Church. Church remains responsible for fees accrued before suspension or termination.

All fees are non-refundable. Cancellation, suspension, or termination for any reason — including cancellation by Church — does not entitle Church to a refund or credit for any fee already paid, including any unused portion of the current term.

4. Mentor Training Obligation

Church agrees to identify and train a reasonable number of mentors able to walk congregation and community members through the Connextions process. Church is responsible for selecting, training, supervising, and overseeing the conduct of its mentors. Mentors act on behalf of Church, not Company.

5. Church Responsibilities

  • Keep account, billing, and contact information accurate and current.

  • Ensure mentors and authorized users comply with this Agreement and applicable law.

  • Refer individuals with needs beyond the Program’s scope to appropriate licensed professionals or emergency services.

  • Handle sensitive information shared by community members with appropriate care and confidentiality.

6. Release and Hold Harmless

To the fullest extent permitted by law, Church releases, indemnifies, defends, and holds harmless Company and its officers, directors, employees, contractors, and agents from any claims, damages, losses, or expenses arising out of Church’s or its mentors’ use of the Program, the mentoring or support Church’s mentors provide, suspension or termination under Section 3, or Church’s breach of this Agreement — except where a claim arises from Company’s gross negligence or willful misconduct.

7. Disclaimer of Warranties; Limitation of Liability

The Program is provided “as is,” without warranties of any kind, express or implied. Company’s total liability under this Agreement will not exceed the fees Church paid in the [3] months before the claim, and Company is not liable for indirect, incidental, consequential, or punitive damages.

8. General Provisions

  • Independent Parties: The parties are independent; nothing here creates a partnership, joint venture, or employment relationship.

  • Governing Law: This Agreement is governed by the laws of the State of [State], without regard to conflict-of-law principles.

  • Amendments: Company may update these standard terms prospectively; the current version in effect governs each renewal term, subject to Section 2’s pricing notice.

  • Entire Agreement: This document is the entire agreement between the parties on this subject and supersedes prior discussions on it.

9. Payment

  • Payment can be made automatically, via monthly subscription or by check or ACH
